Terms & Conditions

Effective date: October 27, 2026

These Terms and Conditions (the "Terms") govern access to and use of the website at zedloc.com (the "Website") operated by ZED Localization LLC ("ZED Localization" or "ZED"), 7901 4th Street North, Suite 300, St. Petersburg, FL 33702, United States, and set out the general conditions that apply to the translation, localization, interpretation, multilingual desktop publishing, multimedia, and related language services ZED provides (the "Services"). In these Terms, "Client" means any person or organization that requests or receives Services, and "Client Content" means the documents, files, media, instructions, and other materials a Client provides to ZED.

1. Acceptance of These Terms

By accessing or using the Website, submitting a form, requesting a quote, or ordering Services, the user agrees to these Terms and to the Privacy Policy. Anyone who does not agree should not use the Website or the Services. A person who accepts these Terms on behalf of a company or other organization represents that they have authority to bind that organization, and "Client" then refers to that organization. Users must be at least 18 years old, or the age of majority where they live, to order Services.

2. Use of the Website

Subject to these Terms, ZED grants a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful purposes related to learning about, requesting, and receiving the Services.

2.1 Acceptable Use

When using the Website, users must not:

  • use the Website in violation of any applicable law or regulation, or for any fraudulent or unlawful purpose;
  • submit false, misleading, or impersonating information, or submit another person's personal information without a lawful basis to do so;
  • upload content that infringes intellectual property or other rights, or content they are not authorized to share;
  • upload viruses, malware, or any other harmful code, or files designed to disrupt or damage any system;
  • attempt to gain unauthorized access to the Website, its servers, or any related systems, or interfere with the Website's operation or security;
  • use automated means, such as bots or scrapers, to access, copy, or collect content or data from the Website, except as permitted by standard search engine indexing; or
  • use the forms to send spam, unsolicited advertising, or bulk messages.

ZED may restrict or block access to the Website, and may disregard or delete any submission, where it reasonably believes these Terms have been breached.

3. Intellectual Property

The Website and its content, including text, graphics, logos, design, and layout, are owned by ZED or its licensors and are protected by copyright, trademark, and other intellectual property laws. The ZED Localization name and logo are trademarks of ZED. No content may be copied, reproduced, modified, distributed, or used for commercial purposes without ZED's prior written consent, except as needed to view the Website for its intended purpose.

Client Content remains the property of the Client or its licensors. The Client grants ZED a non-exclusive license to use, copy, reproduce, adapt, and process Client Content solely as needed to provide the Services. Unless the service agreement states otherwise, upon full payment of the applicable fees, the Client owns the translated and localized deliverables produced specifically for the Client, to the extent of ZED's rights in them. ZED retains all rights in its pre-existing materials, tools, methods, templates, and know-how.

4. Quotes and Orders

  • Quotes: unless a quote states otherwise, quotes are valid for 30 days from the date of issue. Quotes are based on the information and files available when they are prepared, including word count, file format, subject matter, language combination, turnaround time, and, for interpreting, the date, duration, location, and mode of the assignment.
  • Changes in scope: if the source material, instructions, deadline, or other requirements change after a quote is issued, or differ from those on which the quote was based, ZED may revise the fees and delivery schedule. ZED will notify the Client of any revision before proceeding.
  • Governing documents: each project is governed by a signed service agreement or an accepted quote, together with these Terms. If there is a conflict, the signed service agreement prevails, followed by the accepted quote, and then these Terms.
  • Acceptance of orders: a project begins only after the Client accepts the quote or signs the service agreement and meets any agreed advance payment or deposit requirement. ZED may decline any request at its discretion.
  • Website forms: submitting a contact or quote form is a request for information or a quote. It does not create a contract for Services.

5. Client Responsibilities

The Client is responsible for, and represents and warrants that:

  • it owns or has obtained all rights, licenses, permissions, and consents needed to provide Client Content to ZED and to have it translated, adapted, or otherwise processed;
  • where Client Content contains personal information about other individuals, it has a lawful basis to share that information and has provided any notices and obtained any consents required by applicable data protection law;
  • Client Content is lawful and does not infringe the rights of any third party;
  • source files are accurate, complete, final, and legible, and any changes made after work begins will be clearly identified;
  • it will provide clear instructions on the intended purpose, audience, target market, and any required format or terminology, together with available reference materials, glossaries, and style guides;
  • where a translation is intended for submission to an authority, it will confirm that authority's requirements, such as certification, notarization, sworn translation, or apostille, before ordering; and
  • it will respond to queries and review deliverables within a reasonable time, as delays in providing information may affect delivery dates.

ZED is not responsible for errors, omissions, or delays that result from inaccurate, incomplete, illegible, or late source material or instructions supplied by the Client.

6. Confidentiality

ZED treats Client Content and all information a Client marks as confidential, or that a reasonable person would understand to be confidential, as confidential information. ZED uses such information only to provide the Services and discloses it only to employees, contractors, linguists, interpreters, and service providers who need it for that purpose and who are bound by written confidentiality obligations no less protective than those in these Terms.

These obligations do not apply to information that is or becomes publicly available through no fault of ZED, that ZED already lawfully held without a duty of confidentiality, that ZED receives lawfully from a third party without a duty of confidentiality, or that ZED develops independently. ZED may disclose confidential information where required by law, regulation, or court order, and, where legally permitted, will give the Client prompt notice so that it may seek protection. Clients may request a separate non-disclosure agreement, a data processing agreement, or, where applicable, a Business Associate Agreement. These confidentiality obligations survive the completion or termination of any project. Personal information is handled as described in the Privacy Policy.

7. Delivery, Acceptance, and Revisions

  • Delivery: ZED will use reasonable efforts to deliver by the agreed date. Delivery dates are estimates unless the service agreement or accepted quote expressly guarantees a date. Delivery is complete when ZED sends the deliverables to the Client by the agreed method.
  • Review and acceptance: the Client should review deliverables promptly. Any request for correction must be submitted in writing, with specific examples, within the revision window stated in the service agreement or quote, or, if none is stated, within 14 days after delivery. Deliverables are deemed accepted if no written request is received within that window or once the Client uses or publishes them.
  • Revisions: ZED will correct, at no additional charge, errors of translation, omission, or formatting that are attributable to ZED and are reported within the revision window. Changes resulting from revised source material, new instructions, or preferential or stylistic choices that do not reflect an error may be charged separately.
  • Exclusive remedy: correction of the deliverable, or, if correction is not reasonably possible, a credit or refund of the fees attributable to the affected portion of the work, is the Client's sole remedy for nonconforming deliverables, to the extent permitted by law.

8. Fees and Payment

  • Fees are as stated in the accepted quote or service agreement. Unless stated otherwise, fees are quoted in United States dollars and exclude applicable taxes, duties, bank charges, transfer fees, and, for on-site interpretation, travel, accommodation, and related expenses.
  • Payment is due within the period stated on the invoice, quote, or service agreement. ZED may require advance payment or a deposit, particularly for new Clients, large projects, rush work, and interpreting bookings.
  • The Client is responsible for all bank and transfer charges, so that ZED receives the full invoiced amount.
  • If payment is late, ZED may charge interest on the overdue amount at the rate stated in the service agreement or, if none is stated, at the maximum rate permitted by law, and may suspend work or withhold delivery until payment is received. The Client is responsible for reasonable costs of collection, including attorneys' fees, to the extent permitted by law.
  • Any dispute about an invoice must be raised in writing within 15 days of the invoice date. Undisputed amounts remain payable when due.

9. Cancellation

  • Translation and other project-based Services: the Client may cancel a project by written notice. The Client must pay for work completed up to the time ZED receives the notice, any non-refundable costs ZED has incurred, and any minimum charges stated in the quote or service agreement.
  • Interpreting bookings: cancellations and rescheduling of on-site, over-the-phone, and video remote interpreting assignments are governed by the cancellation terms in the service agreement or booking confirmation. Cancellation fees, minimum booking charges, and non-refundable travel and accommodation expenses may apply.
  • Cancellation by ZED: ZED may suspend or cancel Services if the Client materially breaches these Terms or the service agreement, fails to pay amounts when due, or provides Client Content that ZED reasonably believes is unlawful. In that case, the Client must pay for work performed to that date.

10. Certified Translations

When ZED provides a certified translation, ZED certifies that, to the best of its knowledge and belief, the translation is a complete and accurate rendering of the source document and was prepared by a qualified linguist. Unless expressly agreed in writing:

  • a certified translation is not a notarized translation, a sworn translation, or a translation by a court-appointed or government-authorized translator, and it does not include legalization or apostille;
  • ZED certifies the accuracy of the translation only and does not verify the authenticity, validity, or legal effect of the source document; and
  • acceptance of a translation is decided solely by the receiving authority, such as an immigration agency, court, embassy, university, or licensing body. ZED does not guarantee that any third-party authority will accept a translation.

The Client is responsible for confirming the receiving authority's requirements before ordering. If an authority rejects a translation because of an error attributable to ZED, ZED will correct and reissue it at no additional charge. Reissuing a translation to meet requirements that were not communicated to ZED in advance may be charged separately.

11. Interpretation Services

Interpreters convey the meaning of what is said between the parties as faithfully as the circumstances allow. Interpreters do not provide legal, medical, financial, or other professional advice, and ZED is not responsible for the content of the communication, the decisions made by the parties, or the outcome of any meeting, proceeding, or appointment. The quality of OPI and VRI sessions depends in part on audio, video, and network conditions, as well as equipment, which are outside ZED's control where they are provided by the Client or third parties.

12. Disclaimers

The Website and its content are provided "as is" and "as available" for general information. ZED does not warrant that the Website will be uninterrupted, error-free, or free of harmful components, or that its content is complete or current. Information on the Website does not constitute legal, immigration, medical, or other professional advice.

ZED will perform the Services with reasonable skill and care in accordance with generally accepted industry practice. Translation and localization involve professional judgment, and more than one correct rendering of a text may exist. Except as expressly stated in these Terms or a service agreement, and to the fullest extent permitted by law, ZED disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law:

  • ZED will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, or data, arising out of or relating to the Website or the Services, even if ZED has been advised of the possibility of such damages; and
  • ZED's total aggregate liability for all claims arising out of or relating to a Service, whether in contract, tort (including negligence), or otherwise, is limited to the fees actually paid to ZED for the specific Service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct. The Client acknowledges that the fees reflect this allocation of risk.

14. Indemnification

The Client agrees to defend, indemnify, and hold harmless ZED and its owners, employees, contractors, and linguists from and against any third-party claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) Client Content, including any claim that Client Content infringes a third party's rights or was provided without the necessary rights, notices, or consents; (b) the Client's breach of these Terms or a service agreement; or (c) the Client's misuse of the Website or of the deliverables.

15. Third-Party Links and Services

The Website may contain links to third-party websites and services, including social media platforms, WhatsApp, and Google services. These links are provided for convenience only. ZED does not control and is not responsible for the content, availability, terms, or privacy practices of any third-party website or service, and use of them is at the user's own risk and subject to their terms.

16. Force Majeure

ZED is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, acts of government, war, civil unrest, labor disputes, power or internet outages, and failures of third-party service providers. In such cases, the time for performance will be extended for the duration of the event, and ZED will notify the Client as soon as reasonably practicable.

17. Governing Law and Jurisdiction

These Terms, and any dispute arising out of or relating to them, the Website, or the Services, are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state courts located in Pinellas County, Florida, and the federal courts with jurisdiction over Pinellas County, Florida, and waive any objection to venue in those courts. This section does not deprive a consumer of the protection of mandatory provisions of the law of the country where the consumer lives, where those provisions apply.

18. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

19. General Provisions

  • Entire agreement: these Terms, the Privacy Policy, and any accepted quote or signed service agreement form the entire agreement between the Client and ZED regarding their subject matter.
  • No waiver: a failure or delay by ZED in enforcing any right does not waive that right.
  • Assignment: the Client may not assign or transfer its rights or obligations without ZED's prior written consent. ZED may assign these Terms in connection with a merger, acquisition, or sale of its business.
  • Independent contractors: nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the Client and ZED.
  • Electronic communications: the Client agrees that quotes, acceptances, notices, and other communications may be given electronically, including by email, and that they satisfy any legal requirement that such communications be in writing.
  • Survival: provisions that by their nature should survive, including those on intellectual property, confidentiality, payment, disclaimers, limitation of liability, indemnification, and governing law, survive the completion or termination of any Service.
  • Language: these Terms are available in English and Arabic. If there is any inconsistency between the two versions, the English version prevails to the extent permitted by applicable law.

20. Changes to These Terms

ZED may update these Terms from time to time. The updated version will be posted on this page with a new effective date and applies from that date. Changes do not affect projects already governed by an accepted quote or signed service agreement, unless the parties agree otherwise. Continued use of the Website after an update constitutes acceptance of the updated Terms.
